Terms of Service

These terms govern your use of the Claimship website and service. By using either, you agree to them.

What Claimship is

Claimship is software that documents your company's qualifying research under IRC Section 41. It connects read-only to tools you approve, builds an R&D tax credit study, and prepares a Form 6765 package. Your CPA or tax preparer reviews that package and files it with your return.

Claimship provides software, not tax, legal, or accounting advice. We never file taxes on your behalf. Filing decisions belong to you and your CPA.

Who can use the service

The service is for businesses. You must have the authority to bind your company to these terms and to authorize the tool connections you set up. Keep your account credentials confidential. You are responsible for activity under your account.

Fees

The service costs a flat annual fee. Current plans and prices are on the pricing page. We do not take a percentage of your credit. Fees are payable in advance for each annual term and are non-refundable except where the law requires otherwise.

Your data

You own your data. You grant us permission to read the tools you connect and to use that data to provide the service, including preparing your study and filing package. Our handling of personal information is described in the Privacy Policy. You can disconnect any tool at any time.

You are responsible for the accuracy of the information you give us, including payroll figures, contractor costs, and answers to qualification questions. The study is only as good as its inputs.

Acceptable use

Do not misuse the service. That includes trying to break or probe our systems, reselling access, connecting accounts you are not authorized to connect, or using the service to prepare claims you know to be false.

Intellectual property

We own the service, its software, and its content. You get a limited right to use them while you have an active subscription. The studies and filing packages we prepare from your data are yours to keep and use.

Disclaimers

The service is provided as is. Credit estimates are estimates. We do not guarantee a credit amount, IRS acceptance, or any tax outcome. Your results depend on your company's facts and on decisions made by you, your CPA, and the IRS.

Limitation of liability

To the fullest extent the law allows, Claimship is not liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose.

Termination

You can stop using the service at any time. We can suspend or end access for breach of these terms. Sections that by their nature should survive, such as ownership, disclaimers, and liability limits, survive termination.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law rules.

Changes to these terms

When we change these terms, we update them here and revise the date at the top of the page. Material changes get direct notice by email. Continued use after a change means you accept the new terms.
